PBA Organization
​
The Poolesville Basketball Association (PBA) exists to offer basketball training, advanced playing opportunities, and to teach good sportsmanship to pre-high school youngsters who reside in the Poolesville school district. Our organization is volunteer-run, and participation by the youth of the Poolesville area is also voluntary.
Membership in the PBA is limited to the parents and/or guardians of player participants. The Board of Directors is elected at the mandatory general membership meeting held before the beginning of the winter league season. The PBA bylaws are supplied below for more information.
The PBA operates in the Winter Mid-Maryland League for 7th and 8th grade teams (known as JV and Varsity). The PBA may operate summer league teams as well.

Poolesville Basketball Association Bylaws

(Approved by Membership Vote---October 25, 2002)

ARTICLE I: Name
This organization is named the Poolesville Basketball Association and shall herein after be referred to as PBA.
​
ARTICLE II: Articles of Organization
PBA exists as an unincorporated association of its members. These bylaws may be amended as needed and constitute its "articles of organization."

ARTICLE III: Purposes
Section 1. PBA's objectives are:
A. To provide an opportunity for 5th to 8th grade students, who reside within the Poolesville school district, to participate in a competitive basketball program.
B. To promote good sportsmanship and fair play by the players, parents, and coaches.
C. To teach basketball fundamentals through playing experience that can prepare players for local high school teams.
D. To ensure the health and welfare of each participant is our principal aim.
Section 2. PBA is organized exclusively for the charitable purposes within the meaning of Section 501 of the Internal Revenue Code.
ARTICLE IV: Basic Policies
The basic policies of PBA are:
a. It shall be noncommercial, nonsectarian and nonpartisan.
B. It shall not directly or indirectly participate in or attempt to influence any political campaign. It shall neither publish nor distribute political campaign statements on behalf of or in opposition to any political campaign or any candidate for public office; nor lobby to attempt to influence legislation.
C. It shall not enter into membership with or make commitments that obligate PBA to any other organization.
D. PBA's revenues shall be used solely to further the purposes set forth in Article III.
E. Notwithstanding any other provision of these articles, PBA shall only engage in those activities that are wholly consistent with the requirements set forth under Sec. 501 C. of the U.S. Internal Revenue Code for tax-exempt, non-profit organizations.
F. Upon the dissolution of this organization, after satisfying its just debts and obligations, the remaining asset shall be distributed to one or more non-profit funds, foundations, or organizations which have been granted tax exempt status under Section 501 C. 3 of the Internal Revenue Code.
G. PBA will conduct itself under Roberts Rules of Order in any circumstance not explicitly covered by the by-laws.

ARTICLE V: Membership/ Registration/Player Eligibility
Section 1. The Board of Directors shall establish the fees for membership in this organization. All participants must have a parent or guardian as a paid member of the organization by the first scheduled game of play.
Section 2. Students must maintain a minimum of a 2.0 grade point average on a 4.0 scale, with no failing grades. Grades used to determine eligibility will be those recorded on the report card and/or interim report. A player can only become ineligible at the time of a report card marking period and can regain that eligibility at interim report time.
Section 3. As a commitment to the PBA and the Mid-Maryland Jr. Basketball League, all players are expected to participate in all practices and be available to participate in a majority of league games.
ARTICLE VI: Voting Body
Section 1. PBA's voting body shall consist of the elected officers and members of the organization.
Section 2. Only persons attending meetings may cast a vote.
Section 3. Prior written notice of a general membership meeting must be provided at least five days prior to the meeting.
ARTICLE VII: Elections for Board of Directors
Section 1. PBA's elected officers shall consist of a president, a co-director of the Boys Program, a co-director of the Girls Program, a Treasurer, and a Secretary. The Board of Directors shall be elected by the membership at the annual General Membership Meeting before the 1st game of play. If there is only one candidate for any Board position the election for the position(s) shall be by voice vote. If there are several candidates, the vote must be by written ballot.
Section 2. All Board members are elected annually for a term of one year, with the exception of the Co-Directors of the Girls and Boys Programs, who are elected to serve two-year terms.
Section 3. Board members shall assume their official duties immediately following their election.
Section 4. An officer who has served one-half of a term shall be credited with having served a full term.
Section 5. The Secretary shall provide the names of all nominees to the membership at least 7 days prior to the annual meeting. Additional nominations may be made from the floor provided the consent of each candidate has been obtained before his/her name has been placed in nomination.
Section 6. The Board of Directors shall fill any vacancies by appointing a replacement for the remainder of the term.

ARTICLE VIII: Duties of Board
Section 1. The president shall preside over all PBA Board meetings, sign all orders to the Treasurer, designate a Board Member who shall preside in his/her absence, attend meetings of the parent organization (PAA) as VP of Basketball and shall coordinate the work of the Board of Directors and committees to promote the objectives of the organization described in Sec. III. The President "emeritus" shall serve in an advisory capacity for one-year following the end of his/her term.
Section 2. Co-directors will attend all league meetings and will carry out their duties established by the Board.
Section 3. Rules and Procedures and work plans will be established and approved by the Board of Directors annually.
Section 4. The secretary shall keep the minutes of all meetings and shall perform such other duties assigned by the Board.
Section 5. The treasurer shall have custody of all funds of the organization; shall collect and keep a full and accurate accounting of all monies of the organization; shall pay out funds only as authorized by the Board; shall present a current financial statement at each Board meeting. The treasurer's books and records shall be audited annually and at other such times as may be directed by the Board. An independent auditor or auditing committee shall conduct the audit. The treasurer shall also keep an accurate membership roster and shall prepare and submit to the Board an annual fiscal report. Financial statements and annual reports shall be made available upon request at the annual general membership meeting.
Section 6. Every Board member shall deliver to their successor all relevant official materials within thirty days following the meeting at which their successors are elected or to the president within thirty days of the date of their resignation.

ARTICLE IX: Meetings of the Membership
Section 1. The organization shall hold at least one annual general membership meeting. At least 7 days notice must be given for the annual membership meeting. The annual general membership meeting shall be for the purpose of electing Board members and for any other business that may arise.
Section 2. The president may call special meetings of the organization and must give at least 2 days notice of such a meeting.
Section 3. Meetings shall be open but motions may be introduced and votes taken only by the Board as defined in Article V.
Section 4. A quorum for the transaction of business in any meeting of this organization shall consist of a majority of the Board members present and/or 5 members of the organization.
ARTICLE X: Board of Directors
Section 1. The Board of Directors shall be elected annually, with the exception of the Co-Directors of the Boys and Girls Program, who are elected to two-year terms.
Section 2. The Board of Directors shall transact such business that may be referred to it by the members, act in emergencies between meetings, create committees and approve their work plans.
Section 3. The Board of Directors shall hold periodic meetings throughout the year
Section 4. Special meetings may be called by the President or at the request of a majority of the Board.
Section 5. A quorum for the transaction of business in any meeting of the Board shall consist of 5 persons.

ARTICLE XI: Committees
Section 1. The Board of Directors may establish such committees it deems necessary to promote the objectives in Sec III.
Section 2. The president, with the approval of the Board of Directors, shall appoint the chairperson (s) of committees.
Section 3. The term of committee chair shall be one year or until the selection of their successors.
Sections 4. All work of the committees shall be subject to the approval of the Board of Directors.
ARTICLE XII: Financial Management
Section 1. PBA's fiscal year shall be 01-01-XX to 12-31-XX.
Section 2. The board shall adopt a budget before the 1st game of play.
Section 3. All funds of the organization shall be deposited in an account insured by FDIC or FSLIC. Funds may be withdrawn from these accounts by the signature of the treasurer.

ARTICLE XIII: Parliamentary Authority
Roberts Rules of Order Newly Revised shall govern PBA, as applicable and not in conflict with these bylaws.

ARTICLE XIV: Amendments
These bylaws may be amended at the annual membership meeting by a two-thirds vote of the members present and voting, providing written notice of the proposed amendment shall have been given to each member 7 days prior to meeting.

ARTICLE XV: REMOVAL, SUSPENSION, EXPULSION AND APPEAL OF MEMBERS, OFFICERS AND DIRECTORS
Section 1. A coach, manager, player or any member may be removed, suspended or expelled by a majority vote of the Board of Directors when it is considered in PBA's best interest.
Section 2. The Board of Directors may revoke the membership of a player, coach, or parent whose unsportsmanlike conduct may jeopardize the health and safety of other players, parents or the officials.
Section 3. Any person against whom the Board has taken disciplinary action may appeal to the general membership to reverse the action of the Board. A majority vote by written ballot of the entire membership is required to repeal an action to the Board.
